Rules for buying and selling goods in the “beneplácito” (www.beneplacito.lt) online store

  1. GENERAL PROVISIONS

1.1. These www.beneplacito.lt online store rules (hereinafter referred to as the Rules) are a legally binding document for the Buyer and the Seller (hereinafter referred to as the Seller), which establishes the rights and obligations of the Parties.

1.2. The Seller reserves the right to change, amend or supplement these Rules at any time. The Buyer is informed about changes to the Rules on the website of the online store.


1.3. Before you start using or registering in our www.beneplacito.lt online store, please familiarize yourself with and read these terms of use. By registering and making a purchase, you confirm that you agree to these Terms and Conditions and that you meet the requirements specified in the legal acts applicable to the purchase of the relevant goods, i.e. age, legal capacity, etc. If you do not agree with the provisions of these Terms and Conditions, you should not use the services of the online store, which are available on the www.beneplacito.com website.

1.4. Only capable natural persons, at least 20 years of age, and legal entities have the right to purchase in the beneplacito.lt online store.

 

  1. CONCEPTS

The following terms used in these Rules have the following meanings:

2.1. Customer account – an account created by the Customer on the website www.beneplacito.com private;

2.2. Suspension of the Client's account – actions initiated by “beneplácito” independently or upon notification when the Client violates these Rules, the Privacy Policy and other terms and conditions provided on the Website. In the event that the use of the Client's account is suspended, the Client is restricted from logging in and using the Services until the suspension is lifted;

2.3. Client or You – a natural or legal person who uses the “beneplácito” website and the services offered therein;

2.4. Registered customer – a customer who has created an Account at www.beneplacito.lt;

2.5. Privacy Policy – ​​the policy governing the processing of your personal data on www.beneplacito.lt;

2.6. Services – all services provided by beneplácito to the Client on the Website;

2.7. Rules – these rules for using the www.beneplacito.com website, which are published on the Website;

2.8. “beneplácito” – MB “Bene placito”, a small partnership established and operating under the laws of Lithuania, legal entity code 306326116, registered office address Viršuliškių g. 53B-7, LT-05126 Vilnius, which administers the websitewww.beneplacito.lt and sells its products and services;

2.9. Purchase Agreement – ​​a purchase and sale agreement concluded between the Client and MB "Bene placito";

2.10. Website – the website accessible at the address www.beneplacito.lt;

2.11. Shopping cart – a list of goods that the Customer selects and wishes to purchase.


  1. PERSONAL DATA PROTECTION


3.1. www.beneplacito.lt has the right to collect and process personal data provided by the Buyer to www.beneplacito.lt when purchasing goods, and, if necessary, to disclose them to third parties when necessary for the fulfillment of the order, data processing or planning and analysis of beneplacito.lt activities. Data about Buyers and visitors to the online store are protected from loss, unauthorized use and alteration. Data carriers are fully protected from access by third parties.

  1. SHARING INFORMATION BETWEEN SELLER AND BUYER


4.1. The Seller sends all notifications to the email address provided in the Buyer's registration form.
4.2. The Buyer shall send all messages and questions to the Seller's online store using the means of communication specified in the "Contacts" section.


5. ENTRY INTO FORCE OF THE PURCHASE-SALE AGREEMENT
5.1. The contract between the Buyer and the Seller is considered concluded from the moment when the Buyer, having selected the product(s) to be purchased and created a shopping cart, clicks on the "Buy" link.
5.2. beneplacito.lt is not obliged to separately notify the Buyer of its consent to conclude the contract. It is considered that beneplacito.lt confirms the order from the moment it begins to execute it.

6. SELLER 'S RIGHTS
6.1. If the Buyer attempts to undermine the stability and security of the online store or violates his obligations, the Seller has the right to immediately and without warning restrict or suspend his access to the online store or, in exceptional cases, cancel the Buyer's registration.
6.2. In the event of important circumstances, the Seller may temporarily or completely terminate the operations of the online store without prior notice to the Buyer.
6.3. The Seller has the right to cancel the Buyer's order without prior notice if the Buyer, having chosen the "Pickup in store" delivery method, does not collect the goods (and/or pay for them) within 3 (three) business days.

6.4. www.beneplacito.lt has the right to withdraw from the concluded Purchase and Sale Agreement if the stocks of the goods specified in the agreement have run out, as well as if the agreement was concluded by a person who, based on these Rules, did not have the right to conclude the agreement.

6.5. Tickets and gift vouchers purchased by the Buyer are non-refundable and non-exchangeable.


  1. SELLER 'S OBLIGATIONS
    7.1. The Seller undertakes to respect the Buyer's right to privacy regarding personal information belonging to him, specified in the online store registration form, except for cases specified in the laws of the Republic of Lithuania.

7.2. The Seller undertakes to provide the Buyer with the opportunity to use the services provided by the online store www.beneplacito.lt under the conditions set out in these Rules and in the online store.
7.3. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by him and under the conditions specified in these Rules.
7.4. If the Seller is unable to deliver the ordered goods to the Buyer due to important circumstances, he undertakes to offer an analogous or as similar product as possible. If the Buyer refuses to accept an analogous or as similar product as possible, the Seller undertakes to refund the money paid to the Buyer within 3 (three) business days, if an advance payment was made.

  1. BUYER 'S RIGHTS
    8.1. The Buyer has the right to purchase goods in the beneplacito.lt online store in accordance with the procedure established by these Rules and the online store.
    8.2. The Buyer has the right to withdraw from the contract for the purchase and sale of goods concluded with the beneplacito.lt online store by notifying the Seller in writing (by e-mail, indicating the desired return of the goods and their order number) no later than 7 (seven) business days from the date of delivery of the item, except in cases where the contract was concluded due to

8.2.1. purchase of alcoholic beverages;
8.2.2. goods that were manufactured/delivered according to the Buyer's special needs or according to the conditions provided by the Buyer;
8.2.3. food products, if the Buyer was sold a food product of appropriate quality and the shelf life of the product has not expired;
8.2.4. goods that cannot be returned due to their characteristics, including perishable products and products that have expired;
8.2.5. in other cases where the purchase and sale agreement cannot be withdrawn, in accordance with the laws of the Republic of Lithuania.
8.3. The Buyer may exercise the right provided for only if the goods have not been damaged or have not substantially changed in appearance, and have not been used.


  1. BUYER'S OBLIGATIONS

    9.1. When using the www.beneplacito.lt online store, the Buyer undertakes to comply with these Rules and not to violate the legal acts of the Republic of Lithuania.

9.2. The Buyer undertakes not to transfer his login details to third parties. If the Buyer loses his login details, he must immediately inform the Seller about this using the means of communication specified in the "Contacts" section.

9.3. The Buyer must accept the goods in accordance with the procedure established by these Rules and pay the agreed amount for them.

9.4. If the Buyer, during the delivery of the goods, refuses to accept the goods without good reason, the Buyer must cover the costs of delivery of the goods.

9.5. If the data provided in the Buyer's registration form changes, the Buyer must update it immediately.


  1. DELIVERY OF GOODS
    10.1. The Goods are delivered by the Seller or its authorized representative.
    10.2. The Seller undertakes to deliver the goods to the Buyer within 1-3 business days. This term does not apply in cases where the Seller does not have the necessary goods in stock or advance sales of goods are being carried out. At the same time, the Buyer agrees that in exceptional cases, the delivery of goods may be delayed due to Force Majeure circumstances.
    10.3. When ordering goods, the Buyer undertakes to indicate the exact place of delivery of the goods.
    10.4. The Buyer undertakes to accept the goods himself. In the event that he cannot accept the goods himself, and the goods are delivered to the specified address and based on other data provided by the Buyer, the Buyer has no right to make claims against the Seller regarding the delivery of the goods to an inappropriate entity.

10.4.1. The buyer must guarantee the age of the recipient ( not younger than 20 years old ).
10.5. Upon delivery of the goods, the Buyer must check the condition of the shipment together with the Seller or its authorized representative. Once the Buyer signs the invoice (waybill) or other document of delivery and acceptance of the shipment, it is considered that the shipment has been delivered in proper condition.
10.6. Delivery fee and more detailed information:

10.6.1. Delivery of goods in Lithuania (except for the Curonian Spit) is free of charge if the order amount is more than 50 euros.

10.7. In the event that the Buyer, based on these Rules, withdraws from the purchase and sale agreement, he is obliged to pay all direct costs of returning the goods to the Seller. The amount of these Seller costs is deducted from the money paid for the goods to be returned to the Buyer.
10.8. If it is not possible to deliver the ordered goods in one shipment, www.beneplacito.lt has the right to deliver the goods in several shipments.

10.9. Ordered goods can be picked up free of charge at the beneplácito store at Lukiškės skg. 6, Vilnius (half an hour after placing the order during the store's working hours in Vilnius).

10.10. In all cases, the Seller is exempted from liability for violation of the delivery terms of the goods if the goods are not delivered to the Buyer or are delivered late due to the fault of the Buyer or due to circumstances beyond the control of the Buyer.

10.11 If the goods ordered by the Buyer include alcoholic beverages, all goods may be delivered to the Buyer no earlier than 10 a.m. and no later than 8 p.m., on Sunday no earlier than 10 a.m. and no later than 3 p.m. within the time window selected by the Buyer on the day selected by the Buyer (except for September 1, on which alcoholic beverages are not delivered).


  1. PRICES OF GOODS, PAYMENT PROCEDURE AND TERMS


11.1. The prices of goods in the online store and in the formed order are indicated in euros including VAT. www.beneplacito.lt reserves the right to change the prices of goods if tax rates change.

11.2. The Buyer shall pay for the goods in one of the following ways:
11.2.1. Payment via e-banking is an advance payment when the Buyer makes payments using e-banking, through an electronic payment platform.

11.2.2. Payment upon collection of goods at the Vilnius beneplácito store (cash payment is not possible).

11.3. When choosing the payment method 11.2.2., the Buyer undertakes to pay immediately.



  1. PRODUCT QUALITY GUARANTEE
    12.1. The characteristics of the goods sold in thewww.beneplacito.lt store are indicated in the product description for each product.
    12.2 The Seller is not responsible for the fact that the color, shape or other parameters of the goods in the online store may not correspond to the actual size, shape and color of the goods due to the characteristics of the display used by the Buyer.
    12.3. In the event that the Seller does not provide a quality guarantee for certain types of goods, the guarantee provided for by relevant legal acts shall apply.
    12.4. The Seller undertakes to sell the goods to the Buyer in such a way that he is given a real opportunity to use such goods until the expiration date of their suitability for use. In the case of particularly short warranty periods, the goods in the online store are marked with a special warning sign or are sold on the condition that the ordered goods will be collected at the “beneplácito” store.
    12.5. Goods that have a manufacturing defect (e.g. a cork defect in wine) may be returned, but on the condition that the Buyer returns such goods to the Seller within 3 business days. If the Seller acknowledges that the goods have a manufacturing defect, the goods may be exchanged for the same or similar goods.
  2. RESPONSIBILITY
    13.1. The Buyer is fully responsible for the accuracy of the data provided in the registration form. If the Buyer does not provide accurate data in the registration form, the Seller is not responsible for the consequences arising therefrom. By filling out the registration form in the online store www.beneplacito.lt, the Buyer confirms that he is at least 20 years old and assumes all possible losses related to the dispute of this fact and the consequences arising therefrom.
    13.2. The Buyer is responsible for the actions taken while using this online store.
    13.3. The Buyer is responsible for the transfer of his login data to third parties. If the services provided by www.beneplacito.lt are used by a third party who has logged into the online store using the Buyer's login data, the Seller considers this person to be the Buyer.
    13.4. The Seller is exempted from any liability in cases where losses arise due to the Buyer not having taken into account the Seller's recommendations and his obligations and not having familiarized himself with these Rules, although he was given such an opportunity.
    13.5. If the Seller's online store contains links to the websites of other companies, institutions, organizations or individuals, the Seller is not responsible for the information contained there or the activities carried out there, does not supervise or control those websites and does not represent those companies and individuals.
    13.6. In the event of damage, the at-fault party shall compensate the other party for the direct losses incurred.

    14. FINAL PROVISIONS
    14.1. The law of the Republic of Lithuania applies to relations arising on the basis of these rules.
    14.2. All disagreements arising from the implementation of these rules shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
